These Terms of Service ("Terms") govern your access to and use of Youv.ai's websites, products and services (the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
Youv.ai provides an integrated platform for healthcare operations — including appointments, OPD/IPD, billing, CRM, HRMS, AI consultations and related modules. We may update, add or remove features over time. We will not materially reduce the core functionality of a paid plan during your subscription term without notice.
You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account. The Services are intended for use by healthcare organizations and their authorized staff, not by patients directly.
You agree not to misuse the Services. You may not:
You retain ownership of the data your organization submits ("Customer Data"). For protected health information, our processing is governed by a separate Business Associate / Data Processing Agreement. You are responsible for obtaining all consents required to provide Customer Data to us.
Paid plans are billed according to the order or plan you select. Fees are non-refundable except as required by law or expressly stated. Late payments may result in suspension of the Services after reasonable notice.
The Services, including all software, design and content (excluding Customer Data), are owned by Youv.ai and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription.
Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms. This does not apply to information that is public, independently developed, or required to be disclosed by law.
We provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided "as is" without warranties of any kind. The Services support clinical workflows but do not replace professional medical judgment.
To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages. Our aggregate liability arising out of the Services will not exceed the fees you paid in the twelve months before the claim.
You may stop using the Services at any time. We may suspend or terminate access for material breach of these Terms after notice and a reasonable opportunity to cure. On termination, we will make Customer Data available for export for a limited period as described in your agreement.
These Terms are governed by the laws of the jurisdiction in which Youv.ai is established, without regard to conflict-of-law rules. Disputes will be subject to the exclusive jurisdiction of the competent courts of that location. [Confirm governing jurisdiction with counsel.]
We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, for material changes, notify you through the Services or by email. Continued use after changes means you accept the revised Terms.
